Terms of Service

1. Acceptance of Terms

By accessing and using HubCommerce, you accept and agree to be bound by the terms and provision of this agreement.

2. Use of Service

HubCommerce provides a unified commerce platform with payment processing powered by InstantConnect, connecting vendors with payment gateways including Stripe and Paystack. You agree to use the service only for lawful purposes.

3. Vendor Responsibilities

As a vendor, you are responsible for:

• Maintaining accurate account information
• Complying with payment gateway terms of service
• Handling customer disputes and refunds
• Paying applicable taxes on your earnings

4. Fees and Payments

HubCommerce operates on a 0% commission, subscription-based revenue model. Vendors pay no commission on sales. Manual payments (cash, M-Pesa recording, card) incur 0% platform fees. A 1% processing fee applies only to InstantConnect online payments for Premium and Enterprise plan subscribers.

4.1 Platform Fee Structure

Platform revenue is derived from flat monthly subscription fees. The 1% InstantConnect processing fee (applicable to Premium and Enterprise tiers only) covers:

• Infrastructure & Hosting: Reliable cloud hosting on Vercel with 99.9% uptime, global CDN for fast performance, and scalable serverless functions
• Database & Security: Secure Supabase PostgreSQL database with Row-Level Security (RLS), real-time data synchronization, automated backups, and enterprise-grade encryption
• Payment Processing: Integration with Stripe and Paystack payment gateways, escrow management system, fraud detection, and PCI DSS compliance
• Platform Features: ConnectPOS offline capabilities, real-time order tracking, dispute resolution system, multi-currency support, and automated commission calculations
• Customer Support: Technical support infrastructure, monitoring tools, and continuous platform improvements

Important: The 1% InstantConnect processing fee is separate from and in addition to payment processor fees (e.g., Stripe charges approximately 2.9% + $0.30 per transaction, Paystack charges similar rates). Manual payment methods (cash, M-Pesa recording, card terminals) incur 0% platform fees. Starter plan vendors process all payments with 0% platform fees.

4.2 Subscription Fees

Vendors pay flat monthly subscription fees based on their chosen tier. Subscriptions are HubCommerce's primary revenue source:

• Trial (Free for 30 days): Limited platform access, 0% commission on all payments
• Starter Plans ($5–$27/month): POS-Only ($5), Service-Only ($17), Products-Only ($25), or Combined ($27). Vendor pickup only, 0% commission on manual payments
• Premium Plans ($35–$69/month):POS-Only ($35), Service-Only ($45), Products-Only ($55), or Combined ($69). Full delivery network, marketplace listing, 1% platform fee on InstantConnect & online payments
• Enterprise (Custom pricing): Multi-store management, API access, custom integrations, negotiable rates

4.3 Delivery Commission (15-20%)

When customers choose platform-managed delivery, a 15-20% commission is charged on the delivery fee. This commission is split between the platform and the courier (80% to courier, 20% to platform). Vendors using their own logistics network pay zero commission on deliveries.

5. Limitation of Liability

HubCommerce is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the service.

6. Termination

We reserve the right to terminate or suspend your account at any time for violations of these terms.

7. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the service constitutes acceptance of modified terms.
